The terms and conditions for using WageBrew

Effective Date: May 26, 2025

These Terms of Service (“Terms”) describe the terms and conditions on which WageBrew, Inc. (“WageBrew,” “we,” “us,” or “our”) offers you access to wagebrew.com, our mobile and web applications, any related websites, dashboards, APIs, data products, and services that link to or reference these Terms (collectively, the “Service”). By installing, accessing, or using the Service, or by clicking “I Agree,” you (“you” or “your”) accept these Terms.

If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity and its affiliates. In that case, “you” and “your” refer to that entity and its affiliates.

1) Description of Service

WageBrew is a platform that provides income/shift tracking, forecasting, analytics, and related tools to help hourly, gig, and shift-based workers understand and improve earnings and productivity. “App” refers to our mobile application, if any, used to deliver these features.

The Service may link to or let you connect with third-party products, services, or software (“Third-Party Services”). Your use of Third-Party Services is governed solely by their own terms and privacy policies. We do not control or endorse, and are not responsible for, Third-Party Services or how they handle your data. We may add, change, or remove Third-Party Services at any time.

2) Availability; Geographic Scope

We strive for continuous availability but the Service may be unavailable, suspended, or changed without notice, including for maintenance or events outside our control. The Service is provided for use by persons located in the United States. If you access the Service from outside the U.S., you do so at your own risk and are responsible for compliance with local laws.

3) Intellectual Property

WageBrew and its licensors own all rights, title, and interest in and to the Service, including software, visual interfaces, designs, graphics, information, compilations, aggregate/anonymous data, and trademarks/service marks (“WageBrew Marks”) (together, “IP”). Except for the limited rights expressly granted here, no licenses or rights are granted by implication or otherwise. Subject to your compliance with these Terms, WageBrew grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal or internal business use.

You own the information you submit to the Service. You grant WageBrew and its service providers a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, modify, create derivative works (such as those resulting from analytics, aggregation, and de-identification), communicate, publish, and distribute such information as reasonably necessary to provide and improve the Service, and as otherwise permitted by our Privacy Policy. You represent that you have all rights necessary to grant this license.

You also grant WageBrew a perpetual, worldwide, irrevocable, royalty-free license to use any suggestions, enhancement requests, recommendations, or other feedback you provide, without restriction or compensation.

7) Data Privacy & Security

Our Privacy Policy explains how we collect, use, and share information. By using the Service, you consent to our data practices described there. 9) Cancellation & Termination

You may cancel your account at any time. Unless we materially breach these Terms and fail to cure within 30 days after written notice, fees paid (if any) are non-refundable. We may suspend or terminate your access immediately if you violate these Terms or if we believe your use poses risk to us or others. Upon termination, your right to use the Service ends, and we may delete your account and content (except where we’re required or permitted to retain data by law or our Privacy Policy).

10) Disclaimers
